Terms and Conditions.

All deliverables are defined in the project agreement or statement of work (SOW). Work outside the agreed scope is considered out-of-scope and will be quoted separately.

The Company commits to delivery within the timeframe specified in the project agreement. Delays caused by Client-side factors (unclear requirements, delayed approvals, resource unavailability) will extend timelines accordingly.

All prices are fixed and quoted in advance. Prices will be displayed in both USD (United States Dollars) and AED (United Arab Emirates Dirhams) for reference. However, billing and invoicing will be conducted exclusively in AED.

Currency Conversion: USD to AED conversion will be calculated at the current Central Bank of the UAE official exchange rate on the date of invoice issuance. The Client is responsible for any currency conversion fees charged by their financial institution or payment processor.

The Company accepts AED payments via the following methods:

• Credit/Debit cards (via Network International payment gateway) — billed in AED
• Bank wire transfer — billed in AED

Payment Processing: Credit card payments are securely processed through Network International, a PCI-DSS compliant payment processor. Your payment information is encrypted and handled in accordance with industry security standards.

Payment is typically required in full upon project commencement. For multi-phase projects, the Company may accept milestone-based payments as agreed in the project agreement. All payments must be made in AED.

Invoices are issued in AED upon project start or as specified in the SOW. The invoice will include reference prices in both USD and AED for transparency. Payment is due within 14 days of invoice date unless otherwise agreed.

Overdue payments may incur a late fee of 1.5% per month (or the maximum rate permitted by applicable law), compounded daily from the due date, calculated on the AED invoice amount.

All deliverables, code, documentation, configurations, and project output ("Work Product") are owned by the Client upon full payment, except for:

• Pre-existing Company intellectual property, tools, frameworks, and methodologies
• Third-party software, open-source licenses, and vendor platforms

The Company retains the right to reuse general methodologies, templates, and automation frameworks across clients (provided no Client-specific data or code is disclosed).

The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

Total liability for any claim arising from these Terms or the services shall not exceed the amount paid by the Client for the specific project giving rise to the claim.

The Company provides 30 days of complimentary post-delivery support to ensure deliverables function as documented.

Support beyond 30 days, maintenance, or system updates require a separate support agreement or retainer.

The Client may terminate a project within 7 days of commencement for a 50% refund. After 7 days, services are non-refundable. Any work completed will be delivered as-is.

The Company may terminate if payment is not received within 7 days of due date, or if the Client breaches material terms. All work will halt immediately.

The Company warrants that all services will be performed in a professional and workmanlike manner in accordance with industry standards.

The Company does not guarantee specific outcomes, business results, or ROI. All deliverables are provided "as-is" unless otherwise specified in the SOW.

While the Company implements industry-standard security practices, no system is 100% secure. The Client is responsible for additional security measures appropriate for their environment.

The Company complies with applicable data protection regulations (GDPR, HIPAA, SOC 2 where applicable) and will handle Client data according to the security level defined in the project agreement.

The Client is responsible for notifying the Company of any compliance requirements specific to their industry or jurisdiction.

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved through good-faith negotiation.

If negotiation fails, disputes will be submitted to binding arbitration under DIFC (Dubai International Financial Centre) rules or UAE jurisdiction, as appropriate.
